Subscriber Terms & Conditions
Terrasition Corp. — Version 2.01 — Effective: April 2026
By subscribing to Terrasition Corp. ("Terrasition", "we", "us"), you agree to the following terms.
Definitions
Offsets
Terrasition's carbon offset product, whereby the Company purchases and retires verified carbon credits from approved registries on behalf of subscribers. Offset subscribers receive retirement certificates documenting the credits retired in their name.
Frontier
Terrasition's energy transition product, whereby subscriber contributions are deployed to early-stage energy transition projects that reduce emissions but do not generate carbon credits. Frontier subscribers receive periodic deployment transparency reports but do not receive carbon credits, offsets, or any financial return.
Net Contributions
Gross subscription payments less (a) applicable sales taxes collected and remitted to government authorities, and (b) payment processing fees charged by third-party payment processors, allocated proportionally based on the subscriber's chosen product allocation.
Impact Activities
Emissions reduction and energy transition initiatives, including projects that reduce absolute greenhouse gas emissions, reduce emissions intensity, enable lower-emissions energy supply, support research and development of transitional technologies, or deploy new clean or lower-emissions energy capacity.
1. Nature of Contributions
Payments to Terrasition are made in exchange for the Company's services. Offsets payments are purchases of a service (carbon credit procurement and retirement). Frontier payments are contributions to support the Company's Impact Activities. Neither product constitutes an investment, loan, deposit, or charitable donation, and neither confers any ownership interest, repayment right, or entitlement to profits or returns.
2. Purpose
Terrasition supports emissions reduction and energy transition activities through two products. Offsets enables subscribers to offset their carbon footprint through verified, retired carbon credits. Frontier funds early-stage Impact Activities, including initiatives intended to reduce the emissions intensity of energy systems over time.
3. Products and Allocation of Contributions
Subscribers may allocate their contributions between Offsets and Frontier, or subscribe to either product individually. Offsets: Net Contributions allocated to Offsets are used to purchase and retire verified carbon credits from approved registries and to cover the Company's operating costs. Frontier: Net Contributions allocated to Frontier are allocated between restricted impact capital and operating funds. A substantial majority of Frontier Net Contributions is allocated to the Restricted Impact Capital Reserve, with the remainder allocated to operating funds. The specific allocation ratio is set by the Board of Directors and disclosed to subscribers in periodic impact reports. Transparency: Terrasition intends to provide periodic impact reports to active subscribers showing allocation of contributions and deployment activities. Offset subscribers will receive retirement certificates. Frontier subscribers will receive deployment transparency reports.
4. Restricted Impact Capital
Impact capital derived from Frontier contributions is internally restricted by Board policy for deployment to Impact Activities. These funds are owned by Terrasition Corp., are subject to contractual and governance-based restrictions, are not held in trust, and do not create fiduciary obligations to subscribers. Restricted funds may not be used for general operating expenses unrelated to Impact Activities or distributed as shareholder dividends.
5. No Guarantees
Terrasition does not guarantee funding of any specific project, technology, outcome, or timeline. Activities may be long-term, experimental, or enabling in nature.
6. Subscriptions and Refunds
Subscriptions recur monthly unless cancelled before the next billing cycle. Subscriptions may be cancelled at any time to prevent future charges, but prior contributions will not be refunded. Subscription options, pricing, and reference levels may change prospectively. Offsets refunds: Once carbon credits have been purchased and retired on a subscriber's behalf, the transaction is irreversible and non-refundable. If credits have not yet been procured at the time of a refund request, a refund may be issued at Terrasition's discretion. Refunds are also available where required by applicable consumer protection law or in the event of a billing error or duplicate charge. Frontier refunds: Frontier contributions are non-refundable once processed, except: (a) where required by applicable consumer protection law; or (b) in the event of a billing error or duplicate charge.
7. Taxes
Prices are tax-inclusive where applicable. Taxes are collected only where legally required and depend on the Subscriber's jurisdiction.
8. No Advice
Terrasition does not provide financial, investment, legal, or tax advice. Subscribers are responsible for their own decisions.
9. Dissolution
In the event of dissolution, Terrasition will use commercially reasonable efforts, to the extent permitted by law, to apply remaining internally restricted impact capital in a manner consistent with its stated purpose.
10. Governance
The handling and restriction of impact capital is governed by Board-adopted policies and resolutions, which may be updated from time to time.
11. Privacy and Communications
Terrasition collects and uses Subscriber information in accordance with applicable privacy laws. By subscribing, you consent to receive impact reports, account notifications, and material updates via email. You may opt out of non-essential communications at any time. 12. Limitation of Liability
To the maximum extent permitted by law, Terrasition's liability for any claim arising from these Terms is limited to the amount of contributions made by the Subscriber in the 12 months preceding the claim. Terrasition is not liable for indirect, incidental, or consequential damages.
13. Governing Law
These Terms are governed by the laws of Alberta and applicable federal laws of Canada.
