1. Acceptance of Terms
By accessing or using the Terrasition Corp. website at terrasition.org (the "Site"), you agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, do not use the Site. These Terms govern your use of the Site as a visitor. If you subscribe to Terrasition's products (Offsets or Frontier), your subscription is governed by the Subscriber Terms and Conditions, which are a separate agreement.
2. About the Site
Terrasition Corp. is a for-profit Alberta corporation that operates a subscription-based platform for carbon credit procurement (Offsets) and energy transition project funding (Frontier). The Site provides information about our products, a carbon footprint calculator, impact reporting, and related content.
3. Permitted Use
You may use the Site for lawful purposes only. You agree not to: • Use the Site in any way that violates applicable federal, provincial, or local law • Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems • Use automated tools (bots, scrapers, crawlers) to access the Site or extract data, except as permitted by our robots.txt file • Interfere with or disrupt the Site's operation or the servers and networks connected to it • Impersonate any person or entity, or misrepresent your affiliation with any person or entity • Use the Site to transmit malware, spam, or other harmful content
4. Carbon Footprint Calculator
The carbon footprint calculator provided on the Site is an estimation tool only. Results are based on general assumptions and the information you provide. The calculator: • Produces estimates, not precise measurements of your actual carbon emissions • Uses average emission factors that may not reflect your specific circumstances • Is provided for informational purposes to help you understand your approximate footprint • Should not be relied upon for regulatory compliance, carbon accounting, corporate reporting, or any purpose requiring verified emissions data Terrasition makes no warranty as to the accuracy, completeness, or suitability of calculator results for any particular purpose.
5. Intellectual Property
All content on the Site, including text, graphics, logos, icons, images, data compilations, software, and the design and arrangement thereof, is the property of Terrasition Corp. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws. You may view, download, and print content from the Site for your personal, non-commercial use, provided you do not modify the content or remove any copyright, trademark, or other proprietary notices. The Terrasition name, logo, and all related marks are trademarks of Terrasition Corp. You may not use these marks without our prior written consent.
6. User Content
If you submit content to the Site (such as through a contact form, project submission, or feedback), you grant Terrasition a non-exclusive, royalty-free, perpetual licence to use, reproduce, and modify that content for the purpose for which it was submitted. You represent that you have the right to submit such content and that it does not infringe any third party's rights.
7. Third-Party Links and Services
The Site may contain links to third-party websites or integrate third-party services (including Stripe for payments, Memberstack for authentication, and Google Analytics). These third parties have their own terms and privacy policies. Terrasition is not responsible for the content, practices, or availability of any third-party site or service.
8. Disclaimers
The Site and all content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Terrasition does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Terrasition does not warrant the accuracy or completeness of any information on the Site, including impact reports, project descriptions, and carbon calculator results. Information on the Site does not constitute financial, investment, tax, or legal advice. Terrasition is not a registered charity, and contributions to Terrasition products are not tax-deductible donations. Offset purchases may be deductible as a business expense — consult your accountant.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Terrasition Corp., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Site, regardless of the theory of liability. In no event shall Terrasition's total liability to you for all claims arising from your use of the Site exceed one hundred Canadian dollars (CAD $100).
10. Indemnification
You agree to indemnify and hold harmless Terrasition Corp., its directors, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.
11. Privacy and Cookies
Your use of the Site is also governed by our Privacy Policy (terrasition.org/privacy), which is incorporated into these Terms by reference.
12. Modifications to the Site and Terms
Terrasition reserves the right to modify, suspend, or discontinue any aspect of the Site at any time without notice. Terrasition may update these Terms from time to time. The updated Terms will be posted on the Site with a revised 'Last Updated' date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. You submit to the exclusive jurisdiction of the courts of the Province of Alberta for any dispute arising out of or in connection with these Terms or your use of the Site.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
